Introduction

Welcome to VeBuild's Terms of Service. These terms govern your use of our website, services, and any related applications or tools we provide. Please read these terms carefully before using our services.

Important: These terms constitute a legally binding agreement between you and VeBuild. By accessing or using our services, you agree to be bound by these terms and our Privacy Policy.

Acceptance of Terms

Agreement to Terms

By accessing and using VeBuild's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Legal Age Requirement

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you are at least 18 years of age.

Authority to Enter Agreement

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

Description of Services

Web Development Services

VeBuild provides custom web development, design, and digital marketing services. Our services include but are not limited to website design and development, e-commerce solutions, mobile applications, and digital consulting.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice of any significant changes to our services.

Third-Party Services

Our services may integrate with third-party services and tools. We are not responsible for the availability, functionality, or terms of service of third-party providers.

User Obligations and Responsibilities

Accurate Information

You agree to provide accurate, current, and complete information when requested and to update such information to maintain its accuracy.

Prohibited Uses

You may not use our services for any unlawful purpose, to violate any local, state, national, or international law, or to transmit any harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.

Content Responsibility

You are solely responsible for any content you provide to us, including text, images, and other materials. You warrant that you have the right to use and provide such content.

Cooperation

You agree to cooperate with us in good faith during the development process, including providing timely feedback, approvals, and any necessary materials or information.

Payment Terms and Billing

Payment Schedule

Payment terms will be specified in individual project agreements. Typically, we require a deposit before work begins, with remaining payments due according to project milestones or upon completion.

Late Payments

Late payments may result in suspension of services and may incur additional fees. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law.

Refunds

Refund policies will be specified in individual project agreements. Generally, deposits and payments for completed work are non-refundable, but we will work with clients to resolve any issues.

Taxes

All prices are exclusive of taxes. You are responsible for paying all applicable taxes, duties, and other governmental charges.

Intellectual Property Rights

Ownership of Deliverables

Upon full payment, you will own the custom code and design elements created specifically for your project. This does not include our proprietary tools, frameworks, or methodologies.

VeBuild Property

VeBuild retains ownership of all proprietary tools, techniques, know-how, and technologies used in providing services. This includes our development frameworks, project management tools, and business processes.

Third-Party Rights

Some components of your project may be subject to third-party licenses (such as open-source libraries). You are responsible for complying with any applicable third-party license terms.

Portfolio Rights

Unless otherwise agreed in writing, VeBuild reserves the right to display completed projects in our portfolio and marketing materials.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. We will correct any defects in our work at no additional charge for a period specified in your project agreement.

Disclaimer of Other Warranties

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Third-Party Services

We disclaim all warranties regarding third-party services, hosting providers, payment processors, and other vendors that may be integrated into your project.

Project Deliverables and Timeline

Project Scope and Deliverables

All project deliverables, timelines, and specifications will be outlined in a separate project agreement or statement of work. Changes to the scope may result in additional costs and timeline adjustments.

Timeline and Milestones

Project timelines are estimates based on the information provided and assume timely feedback and approvals from the client. Delays in client feedback, content provision, or approvals may result in project timeline extensions.

Testing and Quality Assurance

We conduct thorough testing across modern browsers and devices. However, we cannot guarantee identical appearance or functionality across all possible browser and device combinations, particularly older or obsolete versions.

Client Review and Approval

Clients have 14 days to review and request revisions for each project milestone. Failure to provide feedback within this timeframe will be considered approval of the deliverable.

Hosting and Maintenance Services

Hosting Services

If we provide hosting services, uptime guarantees and service level agreements will be specified in separate hosting agreements. We are not responsible for downtime caused by third-party hosting providers.

Website Maintenance

Ongoing maintenance services, including updates, security patches, and content updates, are available under separate maintenance agreements. Without a maintenance agreement, clients are responsible for all website updates and security.

Backup and Data Recovery

While we implement backup procedures, clients are ultimately responsible for maintaining their own backups. We recommend regular offsite backups and cannot guarantee data recovery in all circumstances.

Third-Party Integrations

Websites may integrate with third-party services (payment processors, social media, etc.). We are not responsible for changes, outages, or discontinuation of third-party services that may affect website functionality.

Content and Materials Provided by Client

Content Ownership and Rights

You warrant that you own or have the necessary rights to all content, images, text, and materials provided to us. You grant us a license to use these materials in connection with your project.

Content Quality and Format

We will work with content in the format provided, but cannot guarantee quality improvements for low-resolution images or poorly formatted text. High-quality source materials result in better final products.

SEO and Content Optimization

While we implement SEO best practices, search engine ranking depends on many factors including content quality, ongoing optimization, and algorithm changes that are beyond our control.

Content Liability

You are solely responsible for the accuracy, legality, and appropriateness of all content provided. We are not responsible for any claims arising from client-provided content.

Technical Limitations and Browser Support

Browser Compatibility

Websites are developed and tested for modern browsers (Chrome, Firefox, Safari, Edge). Support for Internet Explorer or other legacy browsers may require additional development time and costs.

Mobile Responsiveness

We develop responsive websites that adapt to various screen sizes. However, the exact appearance may vary across different devices and orientations based on content and design constraints.

Performance Optimization

We implement performance best practices, but actual loading speeds depend on various factors including hosting, internet connection, device capabilities, and content size.

Accessibility Compliance

While we strive to follow accessibility guidelines, full WCAG compliance may require additional development time and ongoing maintenance. Specific accessibility requirements should be discussed during project planning.

Account Registration and Security

Account Creation

To access certain features of our services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized access to or use of your account.

Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Account Responsibility

You are responsible for all activities that occur under your account. We recommend using strong passwords and enabling two-factor authentication when available.

Refund and Cancellation Policy

Project Refunds

Refund policies vary by project type and will be specified in individual project agreements. Generally, deposits and payments for completed work phases are non-refundable, but we will work with clients to resolve any issues.

Satisfaction Guarantee

We offer a satisfaction guarantee for our services. If you are not satisfied with completed work that meets the agreed specifications, we will work with you to address concerns or provide reasonable revisions.

Cancellation Terms

Either party may cancel a project with written notice. You are responsible for payment of all work completed up to the cancellation date. Cancellation fees may apply as specified in your project agreement.

Refund Processing

Approved refunds will be processed within 10-15 business days using the original payment method. Processing times may vary depending on your bank or payment provider.

Electronic Communications and Consent

Consent to Electronic Communications

By using our services, you consent to receive electronic communications from us. These communications may include notices about your account, project updates, confirmations, and other transactional information.

Communication Methods

We may communicate with you via email, SMS, phone calls, project management platforms, or through notifications on our website. You agree to keep your contact information current.

Opt-out Rights

You may opt out of promotional communications at any time, but you cannot opt out of essential communications related to your projects or account, such as security notices or project updates.

Communication Security

While we use reasonable security measures, electronic communications may not be secure. Do not include sensitive information like passwords or financial details in regular communications.

Changes to Terms of Service

Right to Modify

We reserve the right to modify these Terms of Service at any time. Changes may be necessary due to legal requirements, business changes, or to improve our services.

Notice of Changes

We will provide notice of material changes by email, website notification, or other appropriate means. Notice will be provided at least 30 days before changes take effect, except for changes required by law.

Acceptance of Changes

Your continued use of our services after changes take effect constitutes acceptance of the new terms. If you do not agree to the changes, you should discontinue using our services.

Version Control

We will maintain version history of our Terms of Service and indicate the effective date of each version. The most current version will always be available on our website.

Limitation of Liability

Limitation of Damages

In no event shall VeBuild be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Maximum Liability

Our total liability to you for any claims arising out of or related to our services shall not exceed the total amount paid by you to VeBuild for the specific services giving rise to the claim.

Time Limitation

Any claim against VeBuild must be brought within one (1) year after the cause of action arises, or such claim will be forever barred.

Web Development Specific Limitations

We are not liable for damages caused by third-party services, hosting downtime, browser compatibility issues, or technical limitations beyond our control. Our liability for website performance is limited to correction of coding errors in our work.

Data Protection and Privacy

Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. Please review our Privacy Policy to understand our practices.

Client Data Security

We implement reasonable security measures to protect client data during development and hosting. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

Data Retention

We retain client data for the duration necessary to provide services and as required by law. Upon project completion and final payment, we may retain copies for portfolio purposes with your consent.

Third-Party Services

Websites we develop may integrate with third-party services that have their own privacy policies. We are not responsible for the privacy practices of third-party services integrated into your website.

Dispute Resolution Process

Informal Resolution

Before filing any formal claim against us, you agree to try to resolve the dispute informally by contacting us at legal@vebuild.com with a description of your concern. We will try to resolve the dispute within thirty (30) days of receipt.

Mediation

If informal resolution is unsuccessful, disputes shall first be addressed through mediation with a mutually agreed upon mediator. Each party will bear their own costs for mediation.

Arbitration

If mediation fails, any remaining disputes shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Termination

Termination by VeBuild

We may terminate or suspend your access to our services immediately, without prior notice or liability, if you breach these Terms of Service or engage in conduct that we deem inappropriate or harmful.

Termination by User

You may terminate your relationship with us at any time. However, you remain responsible for all charges incurred up to the date of termination.

Effect of Termination

Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Indemnification

You agree to indemnify, defend, and hold harmless VeBuild, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to our services
  • Your violation of any term of these Terms of Service
  • Your violation of any third-party right, including intellectual property rights
  • Any content or materials you provide to us
  • Any claim that your use of our services caused damage to a third party

This indemnification obligation will survive the termination of these Terms of Service and your relationship with VeBuild.

Governing Law and Dispute Resolution

Force Majeure
